OFFICIAL RULES FOR THE NIKE BASKETBALL SHANNON BROWN ID SLAM DUNK DESIGN CONTEST

NO PURCHASE REQUIRED TO ENTER OR WIN. BY ENTERING THIS CONTEST, ENTRANTS ACCEPT AND AGREE TO BE BOUND BY THESE OFFICIAL RULES.

1. Who is eligible?

This Contest is open only to legal US residents who are thirteen (13) or older as of January 18, 2010, have a Facebook account and be a follower of the Nike Basketball Facebook Account (www.facebook.com). Employees of NIKE USA, Inc., its parent company, NIKE, Inc., their subsidiaries and affiliates, or of other companies associated with the promotion of the Contest, as well as the immediate family (spouse, parents, siblings, and children) and household members of each such employee are not eligible.

2. Who is sponsoring the Contest?

The Contest is sponsored by NIKE USA, Inc., One Bowerman Drive, Beaverton, Oregon 97005 (the “Sponsor”). Sponsor reserves the right to modify or cancel this promotion at any time and, in the event of cancellation, substitute another in its place.

3. How do I enter?

The Contest starts on or about 8:00 am Pacific Standard Time (“PST”) on January 18, 2010 and goes through 12:00 am (PST) on January 20, 2010 (the “Entry Period”). Contestants are required to visit http://go.nike.com/02gee2ll and customize a Kobe V iD for Shannon Brown to consider wearing during the NBA All-Star Slam Dunk Contest. Upon the completion of their design, contestants must take a screen grab of their design and upload to the fan photo gallery on Nike Basketball’s Faceebook Fan Page (http://www.facebook.com/nikebasketball). Contestants can upload their design by simply posting their photo on the Nike Basketball Facebook Fan Page Wall.

4. How will winners be selected?

At the conclusion of the design submission period on January 20, 2010, Shannon Brown and Nike Basketball will select 12 designs as the finalist. Each design will be posted in the Shannon Brown iD Contest Photo Album within the Fan Photos Section of the Nike Basketball Facebook Fan Page on January 20, 2010. Between January 20th and January 22th, Nike Basketball Facebook Fans will be able to vote for their favorite design by selecting the “Like” action button present with that particular photo. The design with the most “Likes” at 5pm Pacific Standard Time (“PST”) on January 22,, 2010, will be the winner. The potential winner will be notified on the Nike Basketball via Facebook on January 26, 2010. Shannon Brown will reveal the finished sample of the shoe during HoopsTalk Live in Dallas on February, 13, 2010 at 12pm CST.

What can I win?

The winner receive the following prizes:

One pair of Nike Zoom Kobe V iD shoes, ARV: $180
One MVPuppets LA Tee - Kobe Apparel, ARV: $30
Total ARV for all prizes: $210

Any prize details not specified above will be determined by the Sponsor in its sole discretion. Prizes are not transferable and must be accepted as awarded. No cash or other substitution may be made, except by the Sponsor, who reserves the right to substitute a prize with another prize of equal or greater value if the prize is not available for any reason as determined by the Sponsor in its sole discretion. The winner is responsible for taxes and any and all other costs and expenses not listed above.

5. What may a potential winner be required to do?

Except where prohibited, a potential winner may be required to complete and return an executed Declaration and Release and/or tax form W-9, if applicable, within five (5) days of being notified. If a potential winner declines to accept the prize, has violated any of these Official Rules, or fails to sign and return the required documents within the required time period, then an alternate entrant may be selected in his/her place in the same manner set forth above. Sponsor reserves the right to not award a prize if a potential winner does not respond to the prize notification. If a potential winner is a minor (as determined by Sponsor), his/her parent or legal guardian will be required to sign the required documents on the potential winner’s behalf.

6. What other terms should I be aware of?

By participating in the Contest, entrants agree to be bound by these Official Rules and the determinations of Sponsor, which shall be final. Any violation of the Official Rules may result in disqualification. The Sponsor has no obligation to notify violators of their disqualification. Unless prohibited by law, entrants agree to allow use of their name, voice, city/state of residence, photograph, and/or likeness for advertising and/or trade and/or any other purpose in any media or format now or hereafter known without further compensation, permission or notification.

The Contest is subject to federal, state, and local laws and regulations and is void where prohibited by law. In the event that the operation, security, or administration of the Contest is impaired in any way for any reason, including, but not limited to fraud, virus, or other technical problem, the Sponsor may, in its sole discretion, either: (a) suspend the Contest to address the impairment and then resume the Contest in a manner that best conforms to the spirit of these Official Rules; or (b) award the prize at random from among the eligible entries received up to the time of the impairment. The Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Contest or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, the Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Failure by the Sponsor to enforce any term of these Official Rules shall not constitute a waiver of that provision.

By participating in the Contest, entrants agree to release and hold harmless the Sponsor, its parent and related companies, and their respective officers, directors, employees, and agents (the “Released Parties”) from and against any claim or cause of action arising out of participation in the Contest or receipt or use of any prize, including, but not limited to: (a) unauthorized human intervention in the Contest; (b) technical errors related to computers, servers, providers, or telephone or network lines; (c) printing errors; (d) lost, late, postage-due, misdirected, or undeliverable mail; (e) errors in the administration of the Contest or the processing of entries; or (f) injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Contest or receipt or use of any prize. Entrant further agrees that in any cause of action, the Released Parties’ liability will be limited to the cost of participating in the Contest, and in no event shall the Released Parties be liable for attorney’s fees. Entrant waives the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.

7. How will disputes be handled?

Except where prohibited, entrant agrees that any and all disputes, claims and causes of action arising out of, or connected with, the Contest or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in the State of Oregon. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, entrant’s rights and obligations, or the rights and obligations of the Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the State of Oregon, without giving effect to any choice of law or conflict of law rules (whether of the State of Oregon or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Oregon.

8. How can I find out who won?

To obtain the name of the winners, send a self-addressed stamped envelope to: Nike Basketball Shannon Brown iD Slam Dunk Design Contest, Attn: J Cheema, One Bowerman Drive, Beaverton, OR 97005. Requests must be received within four (4) weeks of the conclusion of the Entry Period. Residents of the State of Vermont may omit return postage.
